1. Introduction

These Terms and Conditions (the Terms) govern the use of Private Car Trade (PCT), the private online network for the automotive trade at privatecartrade.com (the Platform).

The Platform is operated by CIUK VERKAUF SRL, a company registered in Romania. Its details are in section 15. In these Terms, PCT, we and us mean CIUK VERKAUF SRL.

PCT is a business-to-business service for professionals in the automotive trade. Access to the network is by paid membership, a subscription.

By creating an account and accepting these Terms, you accept them for yourself and for the business you represent, and you confirm that you are allowed to act for that business. If you do not accept them, do not use the Platform.

2. Eligibility and business verification

PCT is open to businesses that work in the automotive trade, in these categories:

• Dealer
• Broker
• Wholesaler
• Fleet operator
• Transporter

PCT is a business-to-business platform. It does not accept private persons acting as consumers. To apply, you must:

• act for a business that is legally registered and really operating in the automotive trade;
• be at least 18 years old and allowed to represent that business;
• give true, complete and current information about yourself and the business, and keep it up to date.

PCT checks the information in every application. This can include checking the VAT number in the EU VAT register (VIES), checking a company registration outside the EU, and asking for more information or documents.

PCT decides whether to approve or reject an application, and does not have to give a reason. Nothing is charged before your company is approved.

Giving false or misleading information can lead to the suspension or closure of the account.

3. Membership and subscriptions

Once your company is approved, you choose a monthly or a yearly membership. The yearly membership costs less than twelve monthly payments. The current prices are on the Membership page, and the amount to pay is shown again before you pay.

A membership renews automatically at the end of each period, every month or every year, until it is cancelled.

Payments are processed by Stripe. Your card details are entered on Stripe's payment page; PCT never receives your full card number.

Prices are shown without VAT. Whether VAT applies depends on your country and your VAT number. The final amount, with any VAT, is shown before you pay.

By confirming a membership, you authorise PCT, through Stripe, to charge your payment method at the start of every period until the membership ends.

A member keeps the price they joined with. If PCT moves existing members to a new price, it tells each of them by email at least 30 days before their first payment at that price, and they can cancel before it is taken.

The price a member keeps is the price in euro. Companies registered in Romania pay in Romanian lei: the amount in lei is the price in euro converted at the exchange rate of the National Bank of Romania (BNR), rounded, and it can change when the rate changes. That is not a price change and needs no notice. The amount in lei is shown before you pay and on every invoice.

You can switch between monthly and yearly. The switch takes effect at your next renewal, so you never pay twice for the same time.

4. Cancellation and refunds

You can cancel your membership at any time from your account, under My account.

Cancelling stops the automatic renewal. Your access continues until the end of the period you have paid for, and then ends.

Payments already made are not refunded, in whole or in part, including when you cancel during a paid period or do not use the Platform. This does not limit any right to a refund that the law gives you and that cannot be set aside by contract.

If you are charged by mistake, for example twice for the same period, PCT refunds the amount charged by mistake.

If a renewal payment fails, Stripe tries again and your access stays for 72 hours. If the payment has still not been made by then, PCT pauses your access to the network until it is. Access comes back once the payment is made; your listings and requests then wait for you to confirm them before they show again.

5. Platform usage

A membership includes:

• unlimited vehicle listings, including uploading many vehicles at once from a spreadsheet;
• unlimited buying requests and transport requests;
• access to the member directory and to every member's profile;
• community features, such as confirmed deals and the reviews members write after them;
• direct communication with other members, on WhatsApp or by email.

There are no listing fees, no request fees and no commission on transactions between members.

PCT may improve, change or remove features of the Platform. If a change takes away a significant part of what a membership includes, PCT tells members in advance.

You are responsible for your account. Keep your password safe, do not share your account (see section 8), and tell PCT at once if you think someone else has used it.

6. Vehicle listings and transactions

Members are responsible for everything they publish on the Platform, including vehicle listings, requests, photos, prices, descriptions and reviews. It must be accurate, lawful and kept up to date. A vehicle that is no longer available must be marked as sold or removed.

Prices, availability and vehicle details are provided by the members. PCT does not inspect vehicles and does not guarantee that any listing is accurate, complete or current.

PCT is not a party to the transactions between members and does not act in them as a seller, buyer, dealer, broker or agent. It holds no money for members and takes no part in payment, delivery or transport.

Negotiation, the contract, payment, transport, handover and the transfer of ownership are agreed and carried out between the members involved, under the law that applies to their deal.

Each member is responsible for the commercial, legal, tax and technical checks a deal needs, such as checking the vehicle, its documents and its history, and the identity and authority of the other party.

PCT provides the means to connect. It does not guarantee that a transaction will be completed, or how the other party will perform.

7. Member verification

PCT checks every business before it joins, as described in section 2. A verified business is one that passed those checks when they were made.

Business verification does not constitute a guarantee of financial reliability, vehicle condition or successful transactions.

Reviews are written by members after a deal that both sides confirmed. They show the experience and the opinion of the member who wrote them, not of PCT.

8. Prohibited activities

When using PCT, you must not:

• publish fraudulent listings, or vehicles you are not entitled to sell;
• give false information about your company or yourself;
• send spam or unsolicited advertising to members;
• describe a vehicle in a misleading way, including its condition, history, mileage or price;
• collect data from the Platform without authorisation, including by scraping, crawlers or other automated means;
• harass, threaten or abuse other members or the PCT team;
• share information from the private network, such as listings, prices, member details or reviews, with people outside it without authorisation, beyond what a deal with the member concerned needs;
• share your account, or let another business use it: one account represents one business;
• use the Platform for any illegal commercial activity, such as fraud, money laundering or trading in stolen vehicles;
• try to get around the Platform's security, or disrupt its operation.

Every vehicle, request and member has a Report button. The PCT team looks at every report.

Anyone, member or not, can report content on PCT that they believe is illegal or infringes their rights, such as a photo used without permission: on the contact page, with the topic Report a listing or member, saying where the content is and why. PCT confirms that it received the report, checks it without undue delay, removes or restricts the content where it is illegal or breaks these Terms, and tells the person who reported it and the member concerned what it decided and why.

9. Suspension and termination

If a member breaches these Terms, gives false information or does not pay, or where it is needed to protect members, the Platform or others, or to comply with the law, PCT may, depending on how serious it is:

• remove content;
• suspend the account: access to the network is paused until the suspension is lifted, and the member is told why by email;
• block the account: signing in is no longer possible, every session ends, the company leaves the network, and its membership is not renewed (it ends with the period already paid, and nothing more is charged);
• delete the account, with its company, listings, requests, deals, reviews and photos.

When an account is deleted, its running membership is cancelled at the same time. Amounts already paid are not refunded when an account is suspended, blocked or deleted because of a breach of these Terms.

You can delete your account yourself at any time, in Settings (or, before your membership starts or after it ends, on your account's status page). This ends your membership at once, without a refund for the rest of the period, and deletes your company, listings, requests, deals, reviews and photos. Payment records are kept as the law requires; see the Privacy Policy.

10. Private invitations

The PCT team can send private invitation links that give a new business 1, 2 or 3 months of membership free of charge.

Each invitation can be used once, for one new account, within 7 days of being made. PCT can withdraw an invitation before it is used.

The business is checked like every other applicant. The free period starts when the company is approved, chooses a membership and adds a card. The date of the first payment is shown before the card is added.

At the end of the free period, the membership chosen starts and renews automatically, under these Terms and the conditions shown at checkout. Cancel before the date of the first payment and nothing is charged.

A free period is given once. It cannot be exchanged for money or passed to another business.

11. Referral programme

Members in the network can invite other businesses with their personal invite link, on their Home page.

When a business that joined through your link is approved and makes its first membership payment, you get one month of membership: your next payment moves one month later, or a membership given by the PCT team runs one month longer.

The reward is given once for each business invited. It has no cash value and cannot be exchanged for money or transferred.

Inviting yourself, another account of your own business, or making accounts only to collect rewards is not allowed. PCT can cancel rewards obtained in breach of these rules, and can change or end the programme for the future without affecting rewards already given.

12. Intellectual property

The PCT name, logo and brand identity, and the design, software and content of the Platform, belong to CIUK VERKAUF SRL or to those who licensed them to it. You may not copy, change or use them, other than to use the Platform as intended.

You keep all rights to the content you publish, such as photos, descriptions and your company logo.

You give PCT a non-exclusive, free licence to store, copy, resize and show that content to the members of the network, for as long as it is published and for the time needed to remove it afterwards. You confirm that you have the right to publish it.

13. Liability

PCT provides the Platform as it is and as available. It works to keep the Platform running and secure, but does not promise that it will always be available, without interruption or without errors.

As far as the applicable law allows, PCT is not liable for:

• transactions between members, or what members do or fail to do;
• the accuracy of what members publish;
• vehicles, their condition, their documents or their delivery;
• indirect or consequential loss, such as lost profit, lost business or lost data.

As far as the applicable law allows, PCT's total liability to a member for all claims in any period of 12 months is limited to the membership fees that member paid PCT in that period.

Nothing in these Terms limits a liability that cannot be limited under the applicable law, such as liability for fraud, intent or gross negligence.

You are responsible for loss that PCT suffers because you breached these Terms or the law.

14. Governing law and disputes

These Terms are governed by Romanian law.

If a dispute arises, contact PCT first, so it can be settled amicably. If it is not settled within 30 days, it goes to the competent courts of Bucharest, Romania, unless a mandatory rule of law says otherwise.

PCT may change these Terms, for example when the service or the law changes. The date of the last update and the version in force are at the top of this page; earlier versions are listed under Version history.

Important changes are announced to members by email at least 30 days before they apply. A member who does not accept them can cancel before they apply. Using the Platform after that date means accepting the new Terms.
